Vendor Contract Risk Review

A first pass over a vendor contract or SOW before it goes to legal: the clauses that commonly cause disputes later (auto-renewal traps, one-sided liability caps, vague termination terms, unclear IP ownership), flagged by risk level with plain-language explanations.

What it checks

Auto-renewal and opt-out notice, termination rights and fees, liability caps and their carve-outs, indemnification balance, data and IP ownership, SLA remedies, pricing escalation, governing law and arbitration, and assignment rights. What it explicitly is not

Legal advice. Every response makes clear this is preparation for a human legal or procurement review, not a substitute for one. It doesn’t draft replacement contract language either; it describes what a more favorable term typically looks like and leaves the actual drafting to counsel.

Why it doesn’t over-flag

A lot of automated contract review tools flag everything, which trains users to ignore the output. This skill is explicit about distinguishing “unusual or one-sided” from “definitely a problem,” and closes with a short prioritized list instead of a wall of findings.
